Commercial terms
These terms and conditions of sale define the rules applying to services or sales offered by B’Industry, subject to adjustment according to the company’s exact business activity.
These terms and conditions of sale define the rights and obligations of the parties in connection with products and/or services offered by B’Industry.
These terms apply to every order, accepted quotation, service or sale agreed with B’Industry, unless specific terms have been agreed in writing.
An order becomes final after written confirmation, acceptance of the quotation or signature of the relevant contractual document.
B’Industry reserves the right to refuse an order for legitimate reasons.
The applicable prices are those in force on the order date or stated in the quotation provided to the customer.
Unless otherwise stated, prices are expressed in euros and may be shown excluding or including tax according to the applicable commercial context.
Payment terms are stated in the quotation, invoice or other contractual document provided to the customer.
Late-payment penalties may be applied in accordance with applicable regulations.
Delivery, performance or intervention timeframes are provided for guidance unless expressly agreed otherwise.
A reasonable delay alone cannot justify cancellation of the order or an award of damages, unless otherwise required by law or contract.
B’Industry may only be held liable for direct damage resulting from a proven failure to fulfil its obligations.
B’Industry cannot be held liable for indirect damage, operating losses or non-material loss unless mandatory law provides otherwise.
Any complaint must be submitted within a reasonable period after delivery, performance of the service or discovery of the issue.
These terms and conditions of sale are governed by French law.
In the event of a dispute, the parties will first seek an amicable solution before taking legal action.
If no amicable agreement can be reached, jurisdiction lies with the territorially competent courts, unless mandatory law provides otherwise.
